These Terms of Service (“Terms”) govern your use of the Cargity website at https://cargity.com (“Website”) and the container tracking and import management services provided by Cargity (the “Service”). By using our Website and Service, you agree to these Terms.
1. Description of Service
Cargity is a software-as-a-service platform that helps importers and freight forwarders track maritime containers and manage their import operations, including shipment tracking, alerts, supplier and product records, cost calculations, and related tools. Cargity is operated by Cargity, Inc. ("Cargity", "we", "us", or "our").
2. Accounts and Eligibility
To use Cargity you must create an account and provide accurate, complete information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for the activity of every user you invite to your organization.
3. Subscriptions, Billing, and Cancellation
Cargity is offered on a subscription basis. Paid plans are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees until you cancel.
Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from your billing settings; your plan remains active until the end of the period you have already paid for, and you will not be charged again afterward.
Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or downgrades. We may change our prices or plan features; if we do, we will give you advance notice and the change will take effect on your next billing period.
4. Acceptable Use
You agree to use Cargity only for lawful purposes and in compliance with these Terms. You may not misuse the Service, including by attempting to gain unauthorized access to it, interfering with its normal operation, reselling or reverse-engineering it, scraping or overloading it, or using it to store or transmit unlawful, infringing, or harmful content.
5. Tracking Data and Third-Party Information
Cargity retrieves shipment, vessel, and container tracking information from third-party sources such as carriers, terminals, and data providers. This information is provided "as is" and may be incomplete, delayed, or inaccurate, and is outside of our control. Cargity does not guarantee the accuracy, completeness, or timeliness of any tracking data and is not a party to your shipping or commercial contracts. You should not rely solely on Cargity for time-sensitive or business-critical decisions, and you remain responsible for independently verifying information with your carriers and partners.
6. User Data and Privacy
We collect and process personal and business data as necessary to provide the Service. For details on how we collect, use, and protect your information, please review our Privacy Policy at https://cargity.com/privacy-policy. You retain ownership of the data you submit to Cargity, and you grant us the rights necessary to host and process it in order to operate the Service.
7. Intellectual Property
Cargity, including its software, design, and content (excluding data you submit), is owned by Cargity, Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription. These Terms do not transfer any ownership rights in the Service to you.
8. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Cargity will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.
9. Termination
You may stop using Cargity and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that may cause harm to us or others. Upon termination, your right to use the Service ends; sections that by their nature should survive (such as payment obligations, disclaimers, and limitations of liability) will continue to apply.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
11. Updates to the Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of Cargity after the changes take effect constitutes acceptance of the updated Terms.
